Terms and Conditions

Effective Date: December 1st, 2025

1. Acceptance of Terms

By creating an Account, accessing, or using the Service in any way, the User accepts these Terms & Conditions (“Terms”). If the User does not agree, they may not use the Service.

These Terms form a legally binding agreement between the User and RecruitScout (“we”, “our”, “us”).

 

2. Definitions

  • Service: the RecruitScout software platform, including all features, modules, insights, integrations, and related services.

  • User: any individual or entity accessing or using the Service.

  • Account: the user account required to access the Service.

  • Subscription: the paid access period purchased by the User.

  • Customer Content: any data, lists, text, files, or information uploaded, provided, or created by the User.

  • Output Data: any data generated by the Service, including insights, signals, analytics, enrichment results, or identified contacts.

  • DPA: the RecruitScout Data Processing Agreement, which governs personal data processing under GDPR.

 

3. Service Description and Use

3.1 The Service provides tools to detect opportunities, identify potential decision makers from publicly available or licensed sources, and facilitate outreach through integrated systems chosen by the User.
3.2 RecruitScout does not guarantee meetings, replies, new clients, hires, placements, revenue, or any business outcomes.
3.3 RecruitScout may modify or update any part of the Service at any time, including features, modules, data sources, interfaces, or integrations.
3.4 RecruitScout does not guarantee uninterrupted uptime or availability. All use is “as is” and “as available.”
3.5 Support is provided at RecruitScout’s discretion and without any guaranteed response time unless otherwise agreed in writing.

3.6 RecruitScout provides technology and information tools only. RecruitScout does not provide legal advice and does not represent or warrant that any particular campaign, recipient, lawful basis, communication channel or use of Output Data complies with applicable law. The User remains responsible for obtaining its own legal advice and independently determining whether and how to use the Service.

 

4. Account Registration and Security

4.1 Users must provide accurate and complete information when creating an Account.
4.2 The User is responsible for maintaining the confidentiality of access credentials.
4.3 The User is responsible for all activity conducted under their Account.
4.4 RecruitScout may suspend or terminate Accounts for violations of these Terms, misuse of the Service, suspicious activity, or unlawful behavior.

 

5. Subscription, Billing, Non-Renewal, Cancellation, Refunds

5.1 Subscriptions are not automatically renewed. Access to the Service ends at the end of the purchased period unless a new Subscription is purchased.
5.2 Subscriptions cannot be cancelled early.
5.3 Refunds are not available except in cases of manifest and verifiable technical error attributable solely to RecruitScout that renders the Service unusable for a substantial portion of the paid period.
5.4 No refunds apply for lack of use, dissatisfaction with the Service or results, data accuracy, expectations of volume, changes of mind, or internal business decisions.
5.5 Prices may change at any time, but changes apply only to future purchases.
5.6 Prices may be subject to VAT or other applicable taxes.
5.7 RecruitScout may suspend access for non payment or payment fraud.

 

6. User Responsibilities, Warranties, and Compliance

6.1 The User is solely responsible for:
a. ensuring lawful basis to process personal data;
b. compliance with GDPR, ePrivacy, CAN-SPAM, and all applicable laws;
c. compliance with the terms of third-party platforms (e.g., LinkedIn, email APIs, CRM providers);
d. lawful use of Output Data and Customer Content.

6.2 The User warrants that:
a. all data provided or uploaded is lawful, accurate, and obtained with the required rights or consents;
b. they will not use the Service for harassment, spam, or unlawful processing.

6.3 Indemnification:
The User shall indemnify, defend, and hold harmless RecruitScout from any claims, damages, penalties, or expenses arising from the User’s violation of these Terms, misuse of the Service, or unlawful processing or outreach.

 

7. Acceptable Use Policy

The User agrees not to:
a. use the Service for unlawful, fraudulent, abusive, harmful, or misleading activities;
b. scrape, harvest, or process personal data in violation of applicable laws or third-party terms;
c. reverse engineer, copy, modify, or exploit any part of the Service;
d. overload, interfere with, or attempt unauthorized access to RecruitScout systems;
e. share access credentials or provide the Service to third parties without permission.

f. using Output Data to operate or create a data-broker, contact-resale or competing enrichment service;
g. circumventing suppression lists, objections, opt-outs or data-subject restrictions;
h. contacting an individual after the User knows that the individual has objected to direct marketing;
i. using the Service to process special-category personal data, criminal-conviction data or information concerning children;
j. concealing or misrepresenting the identity of the sender of a communication;
k. using Output Data to train, develop or improve a competing product, database or artificial-intelligence system.

RecruitScout may suspend access immediately, without refund, for any violation.

 

8. Customer Content and Output Data

8.1 The User retains all rights to Customer Content.
8.2 By uploading Customer Content, the User grants RecruitScout a non exclusive license to process that content solely for providing the Service.
8.3 Subject to these Terms and applicable law, RecruitScout grants the User a limited, non-exclusive, non-transferable and revocable licence to use Output Data solely for the User’s internal business purposes. The User may not resell, sublicense, publish, redistribute or use Output Data to create or maintain a competing database or service.

8.4 Accuracy and restrictions

Output Data may be obtained from public sources, licensed providers, third-party services and algorithmic inferences. It may be incomplete, inaccurate, outdated, duplicated or incorrectly attributed.

The User must independently verify Output Data before relying on it or contacting any person.

RecruitScout does not represent that:

a. a contact has consented to receive marketing;
b. a contact is the correct decision-maker;
c. a particular communication is lawful;
d. a job advertisement or business signal remains current; or
e. Output Data may lawfully be used for every purpose or in every jurisdiction.

RecruitScout may correct, restrict, suppress or remove Output Data where required by law, a data-subject request, a provider restriction or a compliance concern. Such action does not constitute a breach of these Terms.

8.4 RecruitScout may generate anonymized and aggregated statistical data for analytics, product improvement, and benchmarking, without identifying individuals or customers.

 

9. Data Protection, DPA, Sub-Processors, and Transfers

9.1 The User is the Data Controller. RecruitScout is the Data Processor.
9.2 Personal data processing is governed by the RecruitScout Data Processing Agreement (DPA), which forms an integral part of these Terms.
9.3 The User consents to the use of sub-processors for hosting, analytics, enrichment, email delivery, and other infrastructure necessary for the Service.
9.4 RecruitScout ensures that sub-processors are GDPR-compliant and remain under written contractual obligations.
9.5 If personal data is processed outside the EEA/UK, RecruitScout ensures that appropriate safeguards, such as Standard Contractual Clauses (SCCs) or equivalent transfer mechanisms.
9.6 Data retention, deletion, and breach notification obligations are defined in the DPA.

 

10. Third-Party Integrations

10.1 The Service may integrate with third-party providers (e.g., email APIs, CRM systems, enrichment tools).
10.2 RecruitScout is not responsible for outages, failures, price changes, API limitations, policy changes, or compliance breaches of third-party providers.
10.3 The User must comply with all applicable third-party terms when using such integrations.

 

11. Intellectual Property

11.1 All software, algorithms, architecture, design, trademarks, and documentation belong exclusively to RecruitScout.
11.2 The User receives a limited, revocable, non transferable license to use the Service according to these Terms.
11.3 The User may not copy, distribute, modify, or create derivative works of the Service.

 

12. Confidentiality

12.1 Both parties shall treat non-public information as confidential.
12.2 Confidentiality obligations survive termination.

 

13. Warranty Disclaimer

13.1 The Service is provided “as is” and “as available,” without warranties of any kind.
13.2 RecruitScout does not warrant:
a. uptime, uninterrupted access, or error free operation;
b. accuracy, completeness, or reliability of Output Data;
c. any business results or outcomes.

 

14. Limitation of Liability

14.1 RecruitScout is not liable for indirect, incidental, special, punitive, or consequential damages.
14.2 To the maximum extent permitted by law, RecruitScout’s total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the equivalent of one month of the Subscription fee paid or payable by the User. Where an annual fee was paid upfront, the monthly amount will be calculated as one-twelfth of that annual fee. Multiple claims arising from the same or related circumstances will be treated as a single claim.

14.3 RecruitScout shall not be liable for:

a. decisions or actions taken by the User based on Output Data;
b. inaccuracies, omissions or outdated Output Data;
c. the User’s communications or campaigns;
d. third-party integrations, platforms or providers;
e. account restrictions imposed by email, CRM, social-media or other third-party providers; or
f. the User’s failure to comply with applicable law or third-party terms.

 

15. Termination and Data Handling

15.1 RecruitScout may suspend or terminate access for violations of these Terms or unlawful use.
15.2 Upon termination, acc
ess to the Service ceases immediately.
15.3 The User may request export of Customer Content and Output Data within 30 days after termination. After that, RecruitScout may delete the data.
15.4 The following survive termination: confidentiality, IP, indemnification, limitation of liability, warranties, and payment obligations.

 

16. Amendments

RecruitScout may update these Terms at any time. Updates apply to future purchases and continued use of the Service after the publication of updated Terms indicates acceptance.

 

17. Entire Agreement and Severability

17.1 These Terms, together with the Privacy Policy and DPA, form the entire agreement between the parties.
17.2 If any provision is found unenforceable, the remaining provisions remain in full force.

 

18. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of the State of Delaware, USA, without regard to its conflict of law provisions. The state and federal courts located in Delaware, USA shall have exclusive jurisdiction over any such dispute.
